FTC Increases HSR Act Thresholds: "Size of Transaction" Test Increased to $76.3 Million
The Federal Trade Commission has revised the filing and other dollar-denominated thresholds contained in the Hart-Scott-Rodino Antitrust Improvements Act of 1976 (“HSR Act”). These adjustments are made annually based on changes in the U.S. gross national product for the fiscal year ending September 30, 2014. The revisions were published in the Federal Register on January 21, 2015 and take effect on February 20, 2015. The new thresholds will remain in effect until the next annual adjustment, expected in early 2016.
