Mr. Bogart also acts as an informal outside general counsel to a number of clients that consult with him on an extensive range of issues, including risk management, vendor agreements, services agreements, employment issues, and many other day-to-day aspects of starting and running a business.

Mr. Bogart also has experience advising professional fundraisers and charitable organizations on compliance issues in connection with state and federal fundraising and telemarketing regulations.

 

Medical / Dental / Veterinary Practice TransACtions Experience

Over the years, Mr. Bogart has represented numerous medical, dental and veterinary practices and gained valuable knowledge about the unique needs facing a wide range of doctors, dentists, dental specialists, veterinarians and other professionals in business transactions and situations they encounter during the lifespan of their practices. He assists these clients in structuring, negotiating and documenting employee arrangements, partnership arrangements, acquisitions, separations and sales.

Mr. Bogart is a regular contributor to publications and websites that covers dental office management and offers resources for dentists. He also frequently addresses dental students at the University of Maryland School of Dentistry in Baltimore, Howard University College of Dentistry in Washington, D.C., and Virginia Commonwealth University (VCU) helping them to prepare for legal issues they may encounter upon graduation.

Client Alert: Recent SBA Guidance Allows Partnerships to Increase PPP Loan Amounts to Cover Partner Compensation If Not Included in Original PPP Application

In the early days of the PPP, there was some confusion regarding the ability of a partnership (or an LLC taxed as a partnership) to include the compensation of the partners in the original loan amount, as partners’ compensation is not W-2 income.  Subsequently, on April 14, 2020, the SBA provided guidance allowing partners’ compensation to be included in the PPP loan amount based on an annualized amount not exceeding $100,000.

What happens to the partnerships that applied for the PPP without the benefit of that SBA guidance allowing a partner’s income to be included in the PPP loan amount?  The most recent SBA guidance released May 14 allows these partnerships to apply for an increase to their PPP Loan.
